1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and Haze Brands LLC DBA Local Titans ("Company," "we," "us," or "our"), governing your access to and use of OliveBranchHub at olivebranchhub.com ("the Platform"). By accessing or using the Platform, you agree to be bound by these Terms. If you do not agree to these Terms, do not use the Platform.

2. Description of Service

OliveBranchHub is a local business directory for Olive Branch, Mississippi. The Platform allows businesses to create listings, and consumers to discover local businesses. We offer free and paid listing tiers with varying features and visibility.

3. Eligibility

You must be at least 18 years old and capable of forming a binding contract to use the Platform. By creating an account, you represent that the information you provide is accurate and that you are authorized to act on behalf of any business you list.

4. Accounts

• You are responsible for maintaining the confidentiality of your account credentials.
• You are responsible for all activity that occurs under your account.
• You must provide accurate, current, and complete information during registration.
• We reserve the right to suspend or terminate accounts that violate these Terms.

5. Business Listings

Content Standards

By submitting a business listing, you agree that:

• All information provided is accurate and not misleading.
• You have the right to list the business and use any logos, photos, or content submitted.
• Your listing does not contain illegal, harmful, threatening, abusive, defamatory, or otherwise objectionable content.
• Your listing does not infringe on any third party's intellectual property rights.

Moderation

All listings are subject to review and approval by our moderation team. We reserve the right to reject, modify, or remove any listing at our sole discretion, with or without notice, for any reason including but not limited to violations of these Terms.

Listing Tiers

• Free: Basic listing with limited features. No charge.
• Enhanced ($29 one-time): Includes Google rating display, business hours, map embed, SEO backlink, and additional features.
• Premium ($35/month): Includes all Enhanced features plus priority placement, AI chatbot recommendations, promo video embed, special offers, and custom CTA buttons.

6. Payments and Billing

• Payments are processed through our third-party payment provider, GoHighLevel. By making a purchase, you also agree to their terms of service.
• Enhanced listings are a one-time purchase and are non-refundable once the listing has been activated.
• Premium listings are billed monthly. You may cancel your subscription at any time, and your listing will be downgraded to Enhanced at the end of the current billing period.
• We reserve the right to change pricing with 30 days' notice to existing subscribers.
• All fees are in US Dollars (USD).

7. Artificial Intelligence (AI) Terms

The Platform incorporates artificial intelligence features. By using the Platform, you acknowledge and agree to the following:

• AI-Generated Content: Certain content on the Platform, including business recommendations, chatbot responses, and category suggestions, may be generated or assisted by artificial intelligence. AI-generated content is provided "as is" and may contain inaccuracies. We do not guarantee the accuracy, completeness, or reliability of AI-generated content.
• AI Chatbot: Our AI-powered chatbot uses publicly available listing data to assist users in finding businesses. The chatbot's recommendations do not constitute endorsements. Premium-tier businesses may be prioritized in AI recommendations as part of their paid features.
• AI Data Processing: Your business listing data (name, category, description, and other publicly displayed information) may be processed by third-party AI services (such as OpenAI) to power AI features. By submitting a listing, you consent to this processing.
• No Guarantee of AI Recommendations: Premium listing placement in AI recommendations is a best-effort feature. We do not guarantee specific outcomes, traffic, or customer engagement from AI-powered features.
• AI Limitations: AI features may occasionally produce unexpected, incorrect, or biased results. You should not rely solely on AI-generated content for business decisions. We are not liable for any actions taken based on AI-generated recommendations.
• Automated Decision-Making: We may use automated systems including AI for content moderation, category assignment, and listing recommendations. These automated processes may affect the visibility and categorization of your listing.

8. Intellectual Property

• The Platform, including its design, code, branding, and original content, is owned by Haze Brands LLC and is protected by intellectual property laws.
• You retain ownership of the content you submit (photos, logos, descriptions). By submitting content, you grant us a non-exclusive, worldwide, royalty-free license to display, distribute, and promote your content on the Platform and in marketing materials.
• You may not copy, modify, distribute, or reverse-engineer any part of the Platform without our written permission.

9. Prohibited Uses

You agree not to:

• Use the Platform for any unlawful purpose
• Submit false, misleading, or fraudulent business information
• Impersonate another person or business
• Scrape, crawl, or use automated tools to extract data from the Platform without permission
• Attempt to gain unauthorized access to any part of the Platform
• Interfere with or disrupt the Platform's functionality
• Use the Platform to distribute spam, malware, or unsolicited communications
• Manipulate or abuse AI features, including submitting misleading data to influence AI recommendations

10. Disclaimer of Warranties

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE. WE DO NOT WARRANT THE ACCURACY OF AI-GENERATED CONTENT, THIRD-PARTY DATA (INCLUDING GOOGLE REVIEWS AND RATINGS), OR USER-SUBMITTED CONTENT.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, HAZE BRANDS LLC DBA LOCAL TITANS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, BUSINESS OPPORTUNITIES, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE PLATFORM, AI-GENERATED CONTENT, OR THIRD-PARTY SERVICES INTEGRATED WITH THE PLATFORM. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

12. Indemnification

You agree to indemnify, defend, and hold harmless Haze Brands LLC, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including attorney's fees) arising from your use of the Platform, your content, or your violation of these Terms.

13. Third-Party Services

The Platform integrates with third-party services including Google Maps, Google Places, GoHighLevel, and OpenAI. Your use of these services is subject to their respective terms and privacy policies. We are not responsible for the availability, accuracy, or practices of third-party services.

14. Termination

We may suspend or terminate your access to the Platform at any time, with or without cause, with or without notice. Upon termination, your right to use the Platform ceases immediately. Provisions that by their nature should survive termination shall survive, including ownership, warranty disclaimers, indemnity, and limitations of liability.

15. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Mississippi, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved in the state or federal courts located in DeSoto County, Mississippi.

16. Changes to Terms

We reserve the right to modify these Terms at any time. Material changes will be posted on this page with an updated effective date. Your continued use of the Platform after changes are posted constitutes acceptance of the modified Terms.
